SHIPPING TERMS & CONDITIONS
A LOOSE CARGO / LCL SHIPMENT
Per Cubic Meter (CBM) / Volume Weight1. All-Inclusive Shipping
For LCL/Loose Cargo shipments, the quoted rate is intended to cover the agreed shipping service from the WIS China warehouse to the WIS Philippine warehouse or to the customer's designated delivery address, as specified in the quotation.
2. LCL / EXW Arrangement
LCL shipments are handled on an EXW/consolidation basis and are shipped together with cargo belonging to other customers.
Because the container space is shared, WIS cannot individually rush, expedite, or change the shipping schedule of one customer's cargo.
The shipment will follow the ETD (Estimated Time of Departure) scheduled by the shipping line or consolidator from the port of origin.
Notice on ETD: ETD is an estimate and may change due to port congestion, vessel schedules, customs procedures, weather, operational conditions, or other circumstances beyond WIS's control.
3. Customs Inspection and Delays
The customer understands and accepts that LCL shipments may be subject to customs inspection, examination, valuation, documentation review, or temporary hold in China or the Philippines.
WIS will take reasonable measures to minimize customs-related risks and properly process the shipment based on the information and documents provided by the customer.
However, WIS does not guarantee that a shipment will not be held, inspected, delayed, assessed with additional duties/taxes, or subjected to other customs procedures.
Any additional charges resulting from customs assessment, inspection, storage, penalties, or other government requirements may be charged to the customer when applicable.
4. Accurate Cargo Declaration
The customer is responsible for providing the accurate product name, description, quantity, value, and other information required for the shipment.
Customers must not intentionally misdeclare, conceal, or provide misleading information regarding their cargo.
Incorrect, incomplete, or misleading information may result in customs holds, penalties, additional charges, seizure, delays, or other consequences.
Any resulting costs or liabilities caused by inaccurate information provided by the customer shall be the customer's responsibility.
5. Initial Quotation Is Not Final
The initial quotation is provided for reference and estimation purposes only.
The final shipping charge will be determined based on the actual measurement, volume, weight, packing condition, and other applicable details recorded by the WIS China warehouse.
Therefore, the initial quotation is always subject to change once the actual cargo is received and measured.
6. Billing Invoice
For LCL shipments, the billing invoice will be issued when the container/cargo arrives at the applicable WIS Philippine warehouse, unless otherwise stated in the quotation or agreed arrangement.
7. Payment Due Date and Storage
The customer must settle the billing invoice on or before the stated due date.
Failure to settle the invoice on time may result in storage fees and other applicable charges.
WIS reserves the right to withhold release or delivery of the cargo until all outstanding amounts have been fully settled.
8. Last-Mile Delivery
Last-mile delivery is conducted according to the available trucking and delivery schedule.
Customers understand that delivery cannot always be rushed or arranged immediately because trucking services are operated according to scheduled routes and available capacity.
Customers may be encouraged to pick up their cargo directly from the designated WIS warehouse if they require earlier possession of their goods, subject to warehouse procedures and payment clearance.
9. Cargo Insurance
Unless specifically stated otherwise in writing, shipments handled by WIS are not insured by WIS.
Customers who wish to protect their cargo against loss or damage are encouraged to obtain cargo insurance from an independent cargo insurance provider before shipment.
If a cargo loss is determined to have been directly caused by the negligence or mishandling of WIS, WIS's contractual liability shall be limited to 1% of the affected cargo value or ₱10,000, whichever is lower, subject to applicable law and the circumstances of the claim.
This limitation does not apply to liabilities that cannot legally be limited or excluded under applicable law.
10. Damaged / Broken Goods
Any claim involving broken, damaged, or missing goods must be reported to WIS as soon as reasonably possible after receipt of the cargo, together with photographs, videos, packaging evidence, and other supporting information requested by WIS.
WIS will review the circumstances of the damage.
If the damage is determined, after review, to have resulted from WIS's mishandling or negligence, the applicable liability shall be limited to 1% of the affected cargo value or ₱10,000, whichever is lower, subject to applicable law.
Claims reported beyond the applicable reporting period or without sufficient supporting evidence may be denied or considered void, subject to applicable law.
11. Proper Packaging
The customer is responsible for ensuring that goods are properly packed and protected before delivery to the WIS China warehouse.
WIS shall not be responsible for damage caused by insufficient, defective, or inappropriate packaging, inherent defects, fragile items without proper protection, or damage resulting from the nature of the goods themselves.
Where additional packing, repacking, wooden crating, palletizing, or other protective measures are required, additional charges may apply.
12. Prohibited and Restricted Goods
Customers must inform WIS before shipment if their cargo is potentially restricted, regulated, dangerous, hazardous, counterfeit, prohibited, or subject to special customs requirements.
WIS reserves the right to refuse, suspend, or stop any shipment that may violate applicable laws, customs regulations, carrier policies, or WIS shipping policies.
B FCL / FULL CONTAINER LOAD
1. Complete Shipment Information
Customers must provide WIS with all necessary shipment information and documents before the FCL shipment proceeds, including, where applicable:
- Commercial/Proforma Invoice
- Packing List
- Product description
- Quantity
- Cargo value
- Supplier information
- Loading address
- Consignee information
- Shipping terms
- Container requirements
- Other documents required for customs and shipping
2. Initial Quotation
The initial FCL quotation is provided primarily for reference and planning purposes.
The final calculation will follow the actual Packing List, Proforma/Commercial Invoice, shipping instructions, container details, and actual charges incurred.
Any difference between the initial estimate and actual charges may be billed or adjusted accordingly.
3. Sea Freight Quotation
Unless expressly stated otherwise, the initial FCL quotation is for sea freight reference only and does not automatically include all origin, destination, customs, trucking, documentation, taxes, duties, or other charges.
The applicable charges can only be accurately determined once the actual shipment details and shipping arrangement are confirmed.
4. Shipping Terms Agreed With Supplier
FCL shipments must follow the shipping terms agreed between the customer and supplier, such as EXW, FOB, or other applicable Incoterms.
The customer is responsible for understanding which costs are included or excluded under the agreed shipping term.
5. EXW Shipments
For EXW shipments, the customer may be responsible for costs from the supplier's location through the destination, depending on the agreed arrangement.
These may include, but are not limited to:
- China domestic trucking
- Origin local charges
- Container-related charges
- Documentation
- Port/terminal charges
- THC (Terminal Handling Charges)
- Customs processing
- Form E or applicable documentation
- Philippine customs taxes and duties
- Destination charges
- Philippine trucking
- Warehouse or delivery charges
- Other applicable government, port, shipping-line, or third-party charges
The actual applicable charges depend on the shipment and may vary.
6. Charges Determined Upon Arrival
Certain destination, port, customs, terminal, storage, documentation, inspection, or other charges may only become known or finalized when the container arrives at the port or undergoes customs processing.
Accordingly, some charges may be adjusted or billed separately after arrival.
7. ETD and Vessel Schedule
The ETD is based on the vessel's scheduled departure from the port of origin.
ETD is not a guaranteed delivery date.
Vessel schedules may change because of port congestion, vessel availability, weather, customs procedures, blank sailings, operational issues, or other circumstances beyond WIS's reasonable control.
8. FCL Billing and Payment
Billing for FCL shipments will generally be issued on or before the scheduled departure of the container, unless otherwise agreed.
The customer must settle the billing within the stated due date.
Failure to pay on time may result in storage, demurrage, detention, delivery delays, or other charges, which may be charged to the customer.
C AIR FREIGHT
1. Weight-Based Shipping
Air freight is generally calculated based on the actual weight and/or applicable chargeable weight, depending on the shipping arrangement.
The final charge is subject to the actual measurement and weight recorded by the WIS China warehouse.
2. Actual Warehouse Measurement
The initial quotation is an estimate only.
WIS will follow the actual weight and measurement recorded at the warehouse when determining the final shipping charge. Accordingly, the final billing may differ from the initial quotation.
3. Door-to-Door Delivery
Where specifically included in the quotation, air freight may be delivered door-to-door through a third-party courier such as J&T or another designated delivery provider.
Delivery schedules are subject to the courier's operating conditions, service area, weather, customs clearance, and other circumstances beyond WIS's control.
4. Insurance
Air freight shipments are not insured by WIS unless expressly stated in writing.
Customers who require insurance should arrange cargo insurance through an independent insurance provider.
5. Payment
Air freight orders may require full payment upfront before shipment.
For certain arrangements, Cash on Delivery (COD) may be available for the applicable amount, subject to WIS approval and the courier's available service.
D PHILIPPINE WAREHOUSE AND CARGO RELEASE
WIS currently operates/handles cargo through warehouses in:
The applicable warehouse will depend on the shipment and the customer's agreed delivery arrangement.
Cargo Release Prerequisites
Customers may only pick up or request the release of their cargo after:
- Arrival & Processing: The cargo has arrived and has been processed by the warehouse;
- Payment Clearance: All applicable invoices and charges have been fully settled; and
- Authorization: WIS has issued a Release Order or equivalent cargo release authorization.
WIS may withhold cargo release where there are unpaid balances, incomplete documentation, unresolved claims, customs restrictions, or other legitimate reasons.
E DELIVERY, DELAYS AND THIRD-PARTY SERVICES
WIS may use third-party shipping lines, consolidators, trucking companies, couriers, customs brokers, warehouses, and other service providers in performing the shipment.
Schedules provided by WIS, including ETA and ETD, are estimates unless expressly guaranteed in writing.
WIS shall not be responsible for delays caused by third parties or circumstances outside WIS's reasonable control, including:
- Port congestion
- Vessel delays
- Customs inspections
- Customs holds
- Government regulations
- Weather conditions
- Natural disasters
- Accidents
- Strikes or labor disruptions
- War or civil disturbances
- Pandemic or public-health restrictions
- Vessel cancellation or schedule changes
- Trucking shortages
- Warehouse disruptions
- Carrier operational issues
- Changes in government policies or regulations
F FORCE MAJEURE
WIS shall not be liable for failure or delay in performing its obligations when such failure or delay is caused by circumstances beyond its reasonable control (“Force Majeure”).
This includes, but is not limited to, natural disasters, typhoons, earthquakes, floods, fire, war, civil unrest, strikes, government action, customs restrictions, port closures, pandemics, major transportation disruptions, cyber incidents affecting third-party systems, and other events that cannot reasonably be prevented or controlled by WIS.
When a Force Majeure event occurs, WIS will make reasonable efforts to resume or complete the shipment once conditions permit.
G CUSTOMER RESPONSIBILITIES
The customer agrees to:
- Provide complete and accurate shipment information.
- Provide accurate product names and descriptions.
- Declare the correct quantity and value of goods when required.
- Provide required invoices, packing lists, permits, and supporting documents.
- Ensure that the goods are properly packed.
- Inform WIS of fragile, hazardous, restricted, regulated, or special cargo before shipment.
- Pay all invoices within the agreed payment period.
- Respond promptly to requests for additional documents or information.
- Inspect the cargo upon receipt and report any visible damage or shortage immediately.
- Comply with applicable customs, import, export, and Philippine laws and regulations.
H CUSTOMS, TAXES AND GOVERNMENT REQUIREMENTS
Customers understand that customs authorities and other government agencies have independent authority over imported goods.
WIS may assist with shipping and customs-related processing where included in the agreed service, but customs authorities have the final authority to inspect, assess, hold, release, seize, or otherwise process imported cargo.
Any customs duties, taxes, penalties, permits, licenses, inspection fees, or government charges that are not expressly included in the quotation may be charged to the customer.
WIS cannot guarantee a specific customs assessment, release time, or outcome.
I CLAIMS AND REPORTING
All claims regarding loss, damage, shortage, or other shipment issues must be reported to WIS promptly after the customer receives the cargo.
The customer may be required to provide:
- Photos of the cargo
- Photos/videos of packaging
- Delivery receipt
- Unboxing video
- Packing information
- Invoice or proof of cargo value
- Other documents reasonably requested by WIS
Failure to provide sufficient evidence may affect WIS's ability to investigate and process the claim.
J LIMITATION OF LIABILITY
WIS will exercise reasonable care in handling and coordinating shipments.
However, WIS's liability may be limited where loss, damage, delay, or additional costs are caused by:
- Incorrect information provided by the customer;
- Improper packaging;
- Inherent defects in the goods;
- Prohibited or restricted goods not properly declared;
- Customs actions or government decisions;
- Acts or omissions of the supplier;
- Acts or omissions of third-party carriers or service providers;
- Force Majeure events; or
- Other circumstances beyond WIS's reasonable control.
Where WIS is determined to be directly responsible for loss or damage, the applicable compensation shall be subject to the liability limits stated in these Terms and Conditions and applicable Philippine law.
K ACCEPTANCE OF TERMS
By submitting a shipment, confirming a quotation, making payment, delivering cargo to the WIS warehouse, or instructing WIS to proceed with shipment, the customer confirms that they have read, understood, and accepted these Shipping Terms & Conditions.
These terms form part of the customer's shipping agreement with Woo Import Solution unless a separate written agreement expressly provides otherwise.
Woo Import Solution reserves the right to update these terms when necessary to reflect changes in shipping operations, carrier requirements, customs regulations, or applicable laws.
